Terms of service

These Terms govern your use of Spacing's website and services. By using the site or creating an account, you agree to these Terms.
The service
Spacing provides social-timing intelligence software and agency services. Specific deliverables and scope for paid engagements are defined in a separate signed statement of work.
Accounts
You are responsible for safeguarding your credentials and for activity under your account. You must be at least 18 years old to use the service.
Plans, fees and billing
Paid plans are sold as monthly or annual subscriptions. All prices are stated and charged in US dollars (USD). Current plans, included capacity, and add-on prices are published on our pricing page, which forms part of these Terms. Agency and reseller pricing is quoted individually and governed by the order form you sign.
Monthly plans are billed in advance on the day you subscribe and on the same day each month thereafter. Annual plans are billed in advance for twelve months. Fees cover the plan you select plus any add-ons or capacity you add during the term. Usage-metered items — such as monthly playbook generations — reset at the start of each billing period and do not roll over.
Automatic renewal and cancellation
Subscriptions renew automatically at the end of each billing period at the then-current price, and your payment method will be charged, until you cancel. You may cancel at any time from your account billing settings or by emailing billing@spacingiq.com.
Cancellation takes effect at the end of the billing period you have already paid for. You keep access until then, and you will not be charged again. Downgrades between paid plans also take effect at the end of the current period; upgrades take effect immediately and are prorated for the remainder of the period.
Refunds
If you are not satisfied with a paid plan, email billing@spacingiq.com within 14 days of your first payment on that plan and we will refund it in full.
Beyond that window, payments already made are non-refundable and cancellation simply stops the next renewal — we do not refund unused time on a monthly or annual term. We may issue a discretionary refund or credit where a documented service failure on our side prevented you from using the service. Nothing here limits refund rights you have under mandatory consumer law in your jurisdiction.
Price changes
We may change prices or plan contents. If a change affects a plan you are on, we will give you at least 30 days' notice by email before it applies to your subscription, and it will take effect at your next renewal. If you do not accept the new price, you may cancel before that renewal.
Taxes
Prices are exclusive of sales tax, VAT, GST, and any similar taxes, which will be added where we are required to collect them. You are responsible for any withholding taxes and for providing a valid tax identifier where one applies.
Failed payments
If a payment fails, we will retry it and email you. If it remains unpaid after 14 days, we may suspend access to paid features. Data is retained during suspension and restored on payment. Accounts unpaid for 60 days may be cancelled and their data deleted after a further 30 days' notice.
Payment processing
Payments are processed by Stripe, Inc. Your card details are submitted directly to Stripe and are subject to Stripe's terms. We never receive or store your full card number. We receive only a token, the card brand, its last four digits, expiry, and billing country. If you dispute a charge with your bank, we may share transaction and account records with Stripe and the card network as needed to respond.
Agency and reseller accounts
If you hold an agency or reseller account, each client you add occupies its own workspace with its own plan, and you are the customer of record for all of them: you are invoiced for every workspace on your account and are responsible for paying regardless of whether your own client pays you. Any pricing you charge your clients is set by you and is your own contractual matter with them.
You confirm you have authority to connect each client's accounts and data to the service, and you are responsible for your clients' use of any access you grant them. Paused workspaces retain data but stop collecting new data and are not billed.
Acceptable use
- No reverse engineering, scraping, or attempting to access data you are not authorized to access.
- No unlawful, infringing, or harmful content.
- No use that interferes with or disrupts the service or its infrastructure.
Intellectual property
Spacing retains all rights to the platform, models, and underlying technology. You retain ownership of data you submit; you grant Spacing a limited license to process it solely to provide the service.
Disclaimers
The service is provided "as is". Spacing makes no warranty that predictions, recommendations, or insights will produce any particular business outcome. Use professional judgment.
Limitation of liability
To the maximum extent permitted by law, Spacing's aggregate liability shall not exceed the fees you paid in the 12 months preceding the event giving rise to the claim.
Termination
Either party may terminate at any time. Sections that by their nature should survive termination will survive.
Governing law
These Terms are governed by the laws of the jurisdiction in which Spacing is incorporated.
